Terms of Use

These Terms govern use of the Cuvel text and code editor provided by TK-factory.,LLC (the “Provider”).

This translation is provided for convenience. If it differs from the Japanese version, the Japanese version prevails unless applicable law requires otherwise.

Main terms

  • The free trial is generally available once per device for 30 days from initial registration.
  • One license may be activated on up to two devices at the same time.
  • Licenses are normally checked every 30 days and remain usable offline for up to 90 days after the last check.
  • You control your editing data and should back up important files.

Article 1 (Application)

  1. These Terms apply to Cuvel, installers, updates, the official website, license authentication, language-tool distribution, inquiries, and related services (the “Service”).
  2. By installing, launching, trying, activating, or purchasing Cuvel, you agree to these Terms. Separate express consent will be obtained where legally required.
  3. If a purchase screen, legally required seller disclosure, refund policy, or other individual condition conflicts with these Terms, that individual condition prevails, subject to mandatory law.

Article 2 (License grant)

  1. The Provider grants a non-exclusive right to use Cuvel under these Terms and the purchase conditions.
  2. A free installer download does not mean every function is free indefinitely or unconditionally. Available functions and periods follow the app, website, or purchase screen.
  3. No ownership, copyright, or other intellectual-property right is transferred.

Article 3 (Free trial)

  1. Eligible features may generally be tried once per device for 30 days from initial registration.
  2. An internet connection is required to start.
  3. Reinstallation, deletion of settings, or clock changes do not restart or extend the trial.
  4. After expiry, features may be limited and a valid license may be required.

Article 4 (Purchase and use)

  1. A key is issued after purchase and payment are completed.
  2. One key may be active on up to two devices. Reauthentication confirmed as the same device does not consume another slot.
  3. The same key may be used on offered Windows and Linux editions and on macOS if later offered. Availability and requirements follow the website.
  4. Individuals and organizations must use the key under the purchaser’s control and within the purchased unit and activation limit.
  5. Keys may not be loaned, transferred, shared, sold, or published.

Article 5 (Authentication and offline use)

  1. Initial activation, deactivation, and necessary status updates require internet access.
  2. Signed authorization is stored locally and normally checked on the device.
  3. Validity is generally checked in the background every 30 days.
  4. With valid authorization, Cuvel may be used offline for up to 90 days after the last online check. Features may be limited until reconnection after that period.
  5. If deactivation is impossible because of loss or failure, the Provider may assist after verifying purchase.

Article 6 (Price, payment, and refunds)

  1. Price, tax, currencies, payment and delivery timing, and other sale conditions appear on the purchase screen or required seller disclosure.
  2. Stripe or another designated processor is used. Full card numbers are not stored in the Cuvel license database.
  3. The displayed refund period, conditions, and procedure apply. A refunded, charged-back, or reversed license becomes invalid.
  4. Nothing limits rights under applicable consumer law.

Article 7 (Files and backups)

  1. Cuvel accesses selected files and folders for editing, saving, searching, diffing, and related operations.
  2. Tabs, edited content, paths, and settings may be stored locally for restoration.
  3. You are responsible for appropriate backups of important files.
  4. The Provider does not offer cloud custody of your files.

Article 8 (LSP and third-party software)

  1. Selected LSP tools or runtimes may be downloaded and run locally.
  2. A language server may locally read paths, project structure, and edited content for diagnostics.
  3. Third-party licenses, warranties, and privacy terms apply to third-party software.
  4. The Provider does not guarantee its continued availability, completeness, or compatibility.

Article 9 (Inquiries)

  1. You may send reports or questions in the app or by email.
  2. Check what is necessary before including file contents, logs, license data, or other information.
  3. No response to every inquiry, response deadline, or individual feature addition is guaranteed.

Article 10 (Prohibited conduct)

You must not improperly share, sell, publish, or bypass activation limits; alter trials, device, authorization, license, or time data; attack, disrupt, or overload the Service or APIs; redistribute, resell, sublicense, or misrepresent Cuvel; bypass protection or analyze/modify beyond what law permits; or violate law, public order, or third-party rights.

Article 11 (Intellectual property)

Rights in Cuvel, the website, logos, text, images, distributions, and materials belong to the Provider or lawful owners. Third-party works remain under their licenses.

Article 12 (Updates, changes, and interruption)

  1. Functions, supported OSs, requirements, integrations, trials, or authentication may change.
  2. Unless stated otherwise at purchase, a paid license may use public Cuvel updates without another license fee, but perpetual development or support for every OS is not guaranteed.
  3. Maintenance, failures, disasters, external outages, or security response may temporarily interrupt the Service.
  4. Material changes or discontinuation will be announced in advance where reasonably possible.

Article 13 (Warranty)

  1. Complete, error-free, uninterrupted operation on every device, file, encoding, external tool, or purpose is not guaranteed.
  2. Confirmed defects will be addressed through reasonable efforts to fix, update, or suggest alternatives.
  3. Warranties or liabilities that cannot legally be excluded remain unaffected.

Article 14 (Limitation of liability)

  1. Except for intent, gross negligence, injury to life or body, or non-excludable cases, the Provider is not liable for indirect loss, lost profit, business interruption, or data loss.
  2. Liability for ordinary negligence is, where lawful, capped at the amount actually paid for the Cuvel license causing the loss.
  3. Liability for free use is limited to the extent allowed by law.
  4. This Article does not apply where contrary to mandatory consumer law.

Article 15 (Suspension and revocation)

  1. For a material breach, the Service or license may be suspended after reasonable notice or an opportunity to cure.
  2. Urgent cases such as fraudulent payment, refund, chargeback, public keys, or API attacks may be suspended without prior notice.
  3. Intellectual property, prohibitions, liability limits, governing law, and provisions that by nature survive remain effective.

Article 16 (Privacy)

Information is handled under the Privacy Policy.

Article 17 (Changes to Terms)

  1. The Provider may change these Terms for reasonable reasons such as changes in law, functions, pricing, security, or delivery.
  2. Material changes and their effective date will be announced with reasonable notice, and consent obtained where legally required.

Article 18 (Governing law, jurisdiction, and language)

  1. The Service and the interpretation and operation of these Terms are governed by the laws of Japan.
  2. The Osaka District Court has exclusive jurisdiction as the court of first instance over disputes concerning the Service or these Terms.
  3. The Japanese version is authoritative. If a translation differs, the Japanese version prevails unless applicable law requires otherwise.
